Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of services by B D H Consulting and Solutions Ltd ("we", "us", "our") to you ("the client", "you"). By engaging our services, you agree to be bound by these Terms.

We provide professional consulting and related services as agreed with you in writing (which may include proposals, quotations, emails, or contracts).

The scope, timeline, and fees for services will be agreed prior to commencement. Any changes must be agreed in writing.

 

3. Fees and Payment

3.1 Fees

All fees are as set out in the agreed quotation or proposal unless otherwise stated. Fees are quoted in GBP (£) unless specified.

3.2 Deposits

We may require a non-refundable deposit before work commences. The deposit amount will be confirmed in writing. Deposits secure your booking and cover initial planning, preparation, and administrative costs.

3.3 Payment Terms

  • Invoices are payable within [e.g. 7 / 14 / 30] days of the invoice date unless otherwise agreed

  • Late payments may be subject to statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998

  • We reserve the right to suspend services if payment is overdue

 

4. Cancellations and Rescheduling

4.1 Cancellation by the Client

If you wish to cancel services, you must notify us in writing.

Unless otherwise agreed:

  • Deposits are non-refundable

  • If cancellation occurs after work has commenced, you will be liable for payment for work completed up to the cancellation date

  • Additional costs already incurred on your behalf may also be payable

4.2 Rescheduling

We will make reasonable efforts to accommodate rescheduling requests, subject to availability. Rescheduling may be treated as a cancellation if insufficient notice is given.

 

5. Cancellation by Us

We reserve the right to cancel or suspend services if:

  • You fail to make payments when due

  • You fail to provide required information or cooperation

  • Circumstances arise beyond our reasonable control

In such cases, we will refund any fees paid for services not yet delivered, excluding deposits and work already completed.

 

6. Client Responsibilities

You agree to:

  • Provide accurate and complete information required for the services

  • Respond promptly to reasonable requests

  • Ensure that any materials you provide do not infringe third-party rights

Delays caused by the client may result in revised timelines or additional fees.

 

7. Intellectual Property

Unless otherwise agreed in writing:

  • All intellectual property rights in materials created by us remain our property until full payment has been received

  • Upon full payment, you are granted a non-exclusive, non-transferable licence to use the deliverables for their intended purpose

 

8. Confidentiality

Both parties agree to keep confidential any confidential information disclosed during the course of the services, except where disclosure is required by law.

 

9. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for indirect, consequential, or economic losses

  • Our total liability shall be limited to the total fees paid by you for the services giving rise to the claim

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under law.

 

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to acts of God, illness, technical failures, or government restrictions.

 

11. Termination

Either party may terminate the agreement by giving written notice where the other party commits a material breach and fails to remedy it within a reasonable time.

Termination does not affect any rights accrued prior to termination.

 

12. Data Protection

We will process personal data in accordance with applicable data protection laws and our Privacy Policy.

 

13. Complaints

If you have a complaint about our services, please contact us using the details above. We will endeavour to resolve issues promptly and fairly.

 

14. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
